Terms of Service
What we agree to do, what we need from you, and what we will not do at any price.
The agreement
These terms govern your use of the Webio website and any services you buy from Webio, a division of SurgeAI LLC. By engaging us or using this site you accept them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
Where you and we have signed a separate written agreement, that agreement takes precedence over these terms wherever the two conflict.
What we provide
Our core service is a Google review engine, built and operated for you. It includes:
- Setup and configuration on the Webio platform
- Connection to your booking, CRM, invoicing or point-of-sale system
- Review requests by text and email on completed jobs, with up to two follow-ups
- Same-day routing of customers who report a problem
- AI-drafted responses to reviews, for your approval
- A monthly one-page report on your review performance
Web design, social media management and AI automation work are separate engagements, quoted and scoped individually.
What we won't do
We do not gate reviews. We will not filter, suppress, delay or divert any customer away from leaving a public review, and we will not build a system that does. Google's policies prohibit it and profiles are penalised for it.
We also will not write fake reviews, buy reviews, incentivise reviews in a way that violates Google's policies, or post reviews on your behalf. If you ask us to do any of these things we will decline, and repeated requests are grounds for us to end the engagement.
No guarantee of rankings or results
We control how many customers are asked, how quickly they are asked, and how fast reviews are answered. We do not control Google's ranking systems, your competitors, your market, or whether any individual customer chooses to leave a review.
Nothing on our website or in our proposals is a promise of a specific ranking position, a specific number of reviews, or a specific amount of revenue. Calculators on our site are arithmetic applied to figures you enter — they are illustrations, not forecasts.
Your responsibilities
- Give us and maintain authorised access to your Google Business Profile
- Provide a reliable signal for when a job is complete
- Ensure you have a lawful basis and any required consent to contact your customers by email and SMS
- Ensure the customer data you pass to us is accurate and lawfully obtained
- Review and approve drafted responses in reasonable time
- Keep your account and billing details current
You remain responsible for the quality of the service your customers actually receive. We can make sure everyone is asked; we cannot make an unhappy customer happy.
Fees and billing
The Google review engine is $297 per month, billed monthly in advance, with no setup fee. Fees are exclusive of any applicable taxes. Third-party costs — for example SMS carrier fees where they apply — are included in the monthly fee.
We may change our pricing on 30 days' written notice. If you don't accept a change you may cancel before it takes effect. Payments that fail may result in the service being paused after 7 days' notice.
Cancellation
The engagement is month to month. You may cancel at any time with 30 days' notice by emailing hello@webio.cloud. Fees already paid for the current period are non-refundable.
On cancellation we will revoke our access to your Google Business Profile, hand over an export of your review data, and delete or return the customer data we hold for you.
Ownership
You own your business data, your customer data, your Google Business Profile and the review content that sits on it. Approved review responses are yours once published.
We own our own methods, templates, prompts, workflows, report formats and software, and anything we build generically to run our service. Where we build something specifically for you and say so in writing, ownership of that deliverable is as set out in that writing. The Webio name and mark remain ours.
Third-party platforms
Our service depends on platforms we don't control — Google, and our email and SMS providers among them. Their policies, pricing, APIs and availability can change without notice. We'll adapt where we reasonably can, but we're not liable for their outages, policy changes or decisions, including any action Google takes against a Business Profile.
Use of AI
We use AI to draft review responses in your voice. Drafts are reviewed before they reach you and nothing posts to your profile without your approval, unless you have specifically asked us to auto-post straightforward five-star responses. You are responsible for what you approve. AI can be wrong, and the approval step exists for that reason.
Liability
To the fullest extent permitted by law, our total liability arising out of or relating to the services is limited to the fees you paid us in the three (3) months before the claim arose.
We are not liable for indirect, incidental, special or consequential losses, or for lost profits, lost revenue or lost business opportunity, even if we were advised such losses were possible. The services are provided without warranties beyond those that cannot lawfully be excluded. Nothing here limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.
Termination by us
We may end the engagement on written notice if you don't pay, if you breach these terms, if you ask us to do something that violates Google's policies or the law, or if continuing would put us in breach of a third-party platform's rules.
Governing law
These terms are governed by the laws of Wyoming, United States, without regard to its conflict-of-laws rules. The courts of Sheridan County, Wyoming have exclusive jurisdiction over any dispute.
If any provision is found unenforceable, the rest stays in force. Our not enforcing a provision on one occasion isn't a waiver of it.
